Tara Flanagan
Tara Flanagan is a business transactions attorney, with over 27 years of in-house counsel experience at global technology companies, including Cisco Systems, Polycom, Extreme Networks, McAfee, and Trellix/Skyhigh Security. Prior to going in-house, she was in private practice with the law firm of McKenna, Conner and Cuneo, in Los Angeles, California, where she represented government contractors in commercial and government contract matters and litigation.
Her legal services extend to buyers and sellers of technology for commercial and government use. She has extensive experience structuring and negotiating a wide variety of contracts with domestic and global enterprise customers across many industries, and with the U.S. Government and state and local governments and other international organizations. She provides legal guidance regarding channel partner programs and in negotiating sales agreements with resellers, distributors, service providers and other business partners.
Tara has hands-on experience building and managing global corporate ethics, anti-corruption and public sector compliance programs. As the former chief legal officer of a cybersecurity company, she is also a corporate generalist, with experience handling a variety of matters related to intellectual property, employment, marketing, engineering, privacy/security, and corporate governance.
Tara holds a JD, cum laude, from Pepperdine Law School and a Bachelor of Arts, with honors, from Tulane University. She is an active member of the bars of California, Virginia and the District of Columbia.
Representative Matters
- Supporting a prime government contract seller in connection with a key subcontract with a global service provider
- Conducting an assessment of a hardware/software product to determine if it met the requirements of the U.S. Trade Agreements Act
- Supporting a subcontractor seller in connection a subcontract under a prime U.S. Government contract that included FAR/DFAR flow down clauses.
- Developing commercial sales agreement templates for a technology client seeking to expand its cloud service offerings
- Assisting a technology company with asserting its IP rights in support of an award under an Other Transaction Agreement with the U.S. Government.
- Assessing the U.S. Government’s intellectual property rights under awarded federal grants.
